1. Acceptance of Terms

By accessing and using ChampionLogix ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ChampionLogix provides a student-athlete development and compliance platform that facilitates tracking of academic performance, athletic development, wellness monitoring, and compliance status. The Service uses an API-first, conduit architecture that allows educational institutions to maintain data ownership while providing unified oversight and analytics.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Subscription and Billing

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis.

4.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

4.3 Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' notice of any price increases. Continued use after the notice period constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service excessively

6. Intellectual Property

All content, features, and functionality of the Service are owned by U.S. HealthFront and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

7. Data Handling and HIPAA Compliance

7.1 Data Ownership

You retain ownership of all data you provide to the Service. ChampionLogix acts as a technology platform that facilitates data processing but does not store Protected Health Information (PHI) unless explicitly agreed upon in a Business Associate Agreement (BAA).

7.2 Data We Store (Standard Accounts)

For standard accounts, we store only metadata and non-identifiable information:

• Academic performance metadata (grades, GPA, subject-level data)
• Athletic performance statistics (times, scores, performance metrics)
• Compliance status flags (eligibility, requirements met)
• Wellness status indicators (general status flags, no medical details)
• Account and organization information

7.3 Data We Do NOT Store (Standard Accounts)

For standard accounts, we do NOT store:

• Protected Health Information (PHI) as defined by HIPAA
• Medical diagnoses or treatment plans
• Detailed mental health records
• Medical test results or doctor's notes
• Social Security Numbers or other highly sensitive identifiers

7.4 Enterprise Accounts and PHI Storage

Enterprise accounts may choose to store PHI with a Business Associate Agreement (BAA). In such cases:

• A signed BAA is required before PHI storage
• Full HIPAA compliance procedures apply
• Data is encrypted and stored separately per institution
• All HIPAA safeguards are implemented and maintained

7.5 API Integration Model

ChampionLogix uses an API-first architecture that allows educational institutions to integrate with existing school systems. Institutions may choose to keep sensitive data in their own systems and connect via API, maintaining complete data ownership and control.

8. Disclaimers and Limitations

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of information

8.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMPIONLOGIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

8.2 Data Breach Notification

In the event of a data breach affecting your data, ChampionLogix will:

• Notify affected users within 72 hours of discovery
• Report to relevant authorities as required by law (HIPAA, FERPA, state laws)
• Provide credit monitoring if applicable
• Implement additional security measures to prevent future breaches

9. Indemnification

You agree to indemnify and hold harmless ChampionLogix, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any data or content you submit, post, or transmit through the Service
• Your breach of any representation or warranty in these Terms

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.
